1. INTRODUCTION

These Terms of Service (“Terms”) govern your access to and use of the Fusedash websites, applications, and services (collectively, the “Service”), including dashboards, charts, maps, storytelling reports, real-time features, sharing/embedding tools, and AI-powered features.
By accessing or using the Service, you agree to these Terms. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to that organization.

Definitions

Account” means your user account for the Service.
Workspace” means a space where you manage data, dashboards, charts, maps, stories, settings, outputs, and permissions.
Customer Data” means any data, files, datasets, text, prompts, content, or other materials that you or your Authorized Users submit to or make available through the Service, including via uploads or connected sources.
Connected Sources” means third-party sources you connect to the Service (for example APIs, databases, spreadsheets, cloud storage, or public datasets).
Authorized Users” means individuals you permit to access your Workspace.
AI Features” means features that generate or assist with outputs based on prompts, Customer Data, and workspace context (for example AI chat and AI chart assistance).
Output” means content generated or produced through the Service (for example dashboards, charts, maps, narratives, summaries, and recommendations).

Eligibility and account registration

You must be at least 18 years old (or the age of majority where you live) to use the Service.
You are responsible for:
Maintaining the confidentiality of your login credentials
All activity that occurs under your Account
Ensuring Authorized Users comply with these Terms

Plans, subscriptions, tokens, billing, and taxes

If you purchase a paid plan, you agree to pay the fees presented at checkout, in the Service, on our pricing page, or in an order form (the “Fees”).
Some features may be billed based on usage, including tokens or credits used for AI Features or other metered functionality (“Tokens”). Your plan may include a monthly allocation of Tokens, and you may be able to purchase additional Tokens.
Subscriptions and auto-renewal
Subscriptions renew automatically unless you cancel before the renewal date shown in your plan or billing settings.
Unless otherwise stated, Fees are charged in advance for the billing period.
Token usage and pricing
What Tokens are: Tokens are usage units that apply to specific features in the Service, such as AI chat, AI-assisted chart generation, or other metered features.
Included Tokens: If your plan includes Tokens, they are available during the applicable billing period.
Additional Tokens: If you purchase additional Tokens or exceed included usage, you authorize us to charge your payment method for the additional amount shown at the time of purchase or in-product.
Usage display: We may show your Token balance, usage, and applicable rates in your account or billing settings. You are responsible for monitoring usage.
No cash value: Tokens are not legal tender, are not transferable, have no cash value, and are not redeemable for money.
Expiration and rollover: Unless stated otherwise in the Service or your order form, Tokens (including included Tokens) apply only to the billing period in which they are provided and do not roll over.
Price changes: Token pricing and plan allocations may change. If changes affect your paid subscription, we will provide reasonable notice where practical. New token pricing applies from the effective date shown in the Service or your next billing cycle, depending on how the change is presented.

Authorization and payment processing
You authorize Fusedash and its payment processor to charge your payment method for Fees, applicable taxes, and Token purchases or usage-based charges you approve.
Plan changes:
Upgrades, downgrades, and plan changes may take effect immediately or at the next billing cycle, as shown in your plan settings or checkout flow. If a change takes effect immediately, fees or token allocations may be prorated if shown in the Service.
Refunds:
Fees and Token purchases are non-refundable except where required by law or expressly stated in writing by Fusedash.
Taxes:
Fees are exclusive of taxes. You are responsible for applicable taxes, duties, or similar assessments, except taxes based on our net income.

Customer Data, permissions, sharing, links, embedding, and exports

The Service may allow you to share, embed, publish links, or export content.
You control whether content is shared and with whom, including by:
Workspace permissions and roles
Share links or public links (if enabled)
Embedding dashboards or visualizations
Exporting or downloading content

You are responsible for:
Configuring access controls appropriately
Verifying what data is included in shared links, embeds, and exports
Ensuring recipients are authorized to access shared content

Fusedash is not responsible for access or disclosure resulting from:
Your sharing settings
Links you distribute
Embeds you publish
Actions taken by recipients you authorize

Ownership of Customer Data and license to operate the Service

You own your Customer Data. These Terms do not transfer ownership of Customer Data to Fusedash.

You grant Fusedash a limited, worldwide, non-exclusive license to host, store, back up, process, transmit, and display Customer Data only as necessary to:
Provide, maintain, and improve the Service
Provide customer support
Prevent or address technical, security, fraud, or abuse issues
Enforce these Terms and comply with legal obligations.
This license continues until you delete the Customer Data from the Service, except to the extent we must retain it for legal compliance, security, dispute resolution, or backup integrity.

Connected Sources and third-party services

If you connect Connected Sources, you represent and warrant that:
You have the right to access and use those sources
You have the right to provide the data to Fusedash for processing and display through the Service.

Third-party services are not controlled by Fusedash. We are not responsible for third-party services, including their availability, accuracy, or security. Your use of third-party services may be governed by separate terms between you and the third party.

AI Features and Output

How AI Features work
AI Features may use your prompts, Customer Data, and workspace context to generate Output such as suggested visualizations, summaries, narratives, or recommendations.

Use of Output
You may use Output generated for you through the Service. Output may be based on or include Customer Data.

Important limitations
Output may be inaccurate, incomplete, or not appropriate for your use case.
You are responsible for reviewing Output before using it for business decisions or external distribution.
The Service does not provide professional advice (including legal, financial, accounting, medical, or compliance advice).

Acceptable use

You agree not to, and not to allow others to:
Use the Service in violation of any law or regulation
Upload or process content that infringes intellectual property rights, violates privacy rights, or is unlawful
Attempt to gain unauthorized access to the Service or other users’ Workspaces
Probe, scan, or test the vulnerability of the Service or bypass security controls
Interfere with or disrupt the Service (including introducing malware or excessive automated requests)
Reverse engineer, decompile, or attempt to extract source code or underlying systems except where prohibited by law
Use the Service to develop or benchmark a competing product using our confidential features or non-public materials

Sensitive data
Do not upload or process:
Payment card data subject to PCI DSS
Protected health information subject to HIPAA
Highly sensitive government identifiers
unless you have written authorization from Fusedash and an appropriate agreement in place.

Intellectual property and feedback

The Service, including software, design, and underlying technology, is owned by Fusedash and its licensors and is protected by intellectual property laws.
If you submit ideas, suggestions, or feedback, you grant Fusedash the right to use it without restriction or compensation.

Beta, preview, and early access features

We may offer beta, preview, or early access features. These are provided “as is,” may change, and may be discontinued at any time.

Privacy

Our Privacy Policy explains how we collect and use personal information. If you use the Service on behalf of a business and upload Customer Data that includes personal data, you may need a Data Processing Addendum (DPA) for GDPR or similar laws.

Suspension and termination

By you
You may stop using the Service at any time. You can cancel a paid subscription through your account settings or by contacting us at info@fusedash.ai.

By us
We may suspend or terminate access to the Service if:
You breach these Terms
Your use creates a security risk, legal risk, or material harm to Fusedash or others
We are required to do so by law
Where reasonable, we will provide notice and an opportunity to cure.

Service availability and changes

We aim to keep the Service available, but we do not guarantee uninterrupted access.
We may modify, suspend, or discontinue parts of the Service at any time. If we make material changes that negatively affect paying customers, we will provide reasonable notice when practical.

Disclaimers

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FUSEDASH DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Fusedash does not warrant that the Service or any Output will be accurate, complete, reliable, secure, or error-free.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:
FUSEDASH WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.
FUSEDASH’S TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT PAID BY YOU TO FUSEDASH FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR $100 IF YOU HAVE NOT PAID ANY AMOUNTS.
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

Indemnification

You will indemnify and hold harmless Fusedash and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to:
Your Customer Data
Your use of the Service in violation of these Terms
Your breach of applicable laws or third-party rights

Copyright and DMCA notices

If you believe content on the Service infringes your copyright, send a notice to info@fusedash.ai including:
Identification of the copyrighted work
Identification of the allegedly infringing material
Your contact information
A statement of good-faith belief that the use is not authorized
A statement under penalty of perjury that the notice is accurate
Your physical or electronic signature

Export controls and sanctions

You may not use the Service if you are located in a country subject to US embargo, or if you are prohibited from receiving the Service under US export control or sanctions laws. You agree to comply with applicable export control laws.

Governing law and venue

These Terms are governed by the laws of the Commonwealth of Virginia, excluding conflict of laws principles.
Except where prohibited by law, any dispute arising out of or relating to these Terms or the Service must be brought in the state or federal courts located in Fairfax County, Virginia, and you consent to personal jurisdiction and venue there.

Changes to these Terms

We may update these Terms from time to time. If changes are material, we will provide notice through the Service or by email. Continued use of the Service after the effective date means you accept the updated Terms.

General terms

Assignment: You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets.
Severability: If any provision is unenforceable, the remaining provisions remain in effect.
No waiver: Failure to enforce a provision is not a waiver.
Entire agreement: These Terms, plus any order form and referenced policies, are the entire agreement regarding the Service.
